What you’ll do:
IPO & Corporate Governance
- Lead the company’s legal strategy for IPO preparation, ensuring compliance with listing requirements in relevant markets (e.g. SET, or NASDAQ if applicable).
- Advise the executive team and Board on corporate governance, regulatory compliance, and risk management.
- Oversee equity structuring, shareholder agreements, and public company reporting obligations.
- Manage legal due diligence, liaising with external counsel, regulators, and investment banks.
Corporate & Commercial Legal Affairs
- Provide expert legal counsel on corporate law matters in Thailand and Singapore, ensuring compliance with local and international regulations.
- Draft, review, and negotiate key commercial contracts, including partnerships, vendor agreements, and customer agreements.
- Develop and implement policies to ensure legal and regulatory compliance across business operations.
Risk Management & Compliance
- Identify and mitigate legal risks related to corporate transactions, data privacy, employment law, and intellectual property.
- Lead internal legal compliance initiatives, including Bank of Thailand regulations, Anti Money Laundering, data protection (PDPA, GDPR), and other related regulations.
- Work cross-functionally with finance, HR, and product teams to align legal policies with business objectives.
Leadership & External Engagement
- Build and lead the legal team, ensuring high performance and strategic alignment with business goals.
- Manage relationships with external legal counsel and regulatory bodies in Thailand and Singapore.
- Represent the company in negotiations, disputes, and regulatory discussions as needed.
What you’ll need:
- 10+ years of legal experience, with a strong background in corporate law, capital markets, and commercial contracts.
- Experience in IPO preparation, corporate governance, and securities law compliance in Singapore and/or Thailand. Prior experience in publicly listed companies or working with regulatory bodies is strongly preferred.
- Strong knowledge of TH and SG legal frameworks, including corporate structuring, foreign investment regulations, and commercial laws. Familiarity with M&A, data privacy laws, and fintech/e-commerce regulations is considered an advantage.
- Proven ability to draft and negotiate complex agreements in a tech-driven environment.
- Experience managing legal risk in high-growth, multinational companies.
- Exceptional communication skills, with the ability to advise C-level executives and board members.
- Law degree (LL.B or equivalent) with admission to practice in Thailand, Singapore, or a common law jurisdiction.
- Fluency in English. Thai is preferred but not required.
